Ekaterinburg – May 8th, 2007 - Uralsvyazinform (RTS and MICEX: URSI/URSIP, ADR: UVYZY/UVYZYP), the leading carrier of fixed-line and mobile services in the Urals region, Russia reports on the Agenda of the forthcoming Annual General Meeting.
On May 7th, 2007 Uralsvyazinform’s Board of Directors validated the agenda of AGM to be held on June 15, 2007 in Chelyabinsk, and announced recommended dividend and Auditor for Meeting’s approval.
The Meeting’s Agenda is comprised of the following:
1. Approval of the Annual Report, the Annual Financial Statements, including the Profit and Loss statement (profit and loss account) of the Company, as well as the Company’s profit (including dividend payment) and loss distribution as of the reporting (2006) fiscal year;
2. Election of members of the Company’s Board of Directors;
3. Introduction of amendments and additions to the Charter;
4. Introduction of amendments and additions to the Procedure of the General Shareholders Meeting;
5. Introduction of amendments and additions to the Regulation on the Board of Directors;
6. Introduction of amendments and additions to the Regulation on the Management Board;
7. Election of members of the Company’s Audit Commission;
8. Nomination of the Auditor for 2007;
9. Approval of annual remuneration payable to the members of the Company’s Board of Directors;
The Board also considered the Auditor’s opinion (the company’s IAS and RAS financial statements are audited by OOO "Ernst and Young") as well as Audit Commission’s opinion regarding the annual accounting statements of the company. The Board has provisionally approved the annual report and annual accounting, including profit and loss statement and profit distribution as of 2006.
The Annual General Meeting is also recommended to approve the pay-out of 2006 dividend at the rate of:
- RUR 0.026606 per 1 preferred share payable till August 14, 2007;
- RUR 0.016393 per 1 common share payable till December 15, 2007.
The total amount of dividend payment, if approved by AGM, would amount to RUR 737,957 thous. or 35.4% of net profit of the company as of 2006 under RAS. The rest of net (retained) profit in the amount of RUR 1, 346,733.5 thous is recommended for the increase of equity capital.
The Board recommends Ernst and Young as the Auditor of financial statements under Russian and International Accounting Standards as of 2007. Ernst and Young was announced the winner of the recent tender to assign the company’s auditor.
The AGM will take place on June 15, 2007 at 10.00 a.m. (local time) at the following location: 161, Kirov St., Chelyabinsk, Russia. Registration of participants starts at 8.00 a.m.
Record date (the date of compiling the list of persons entitled to participate in the AGM) – April 27, 2007.
