Ekaterinburg — June 22, 2006 — Uralsvyazinform (RTS: URSI/URSIP) the leading carrier of fixed-line and mobile services in the Urals region, Russia reports the results of the Annual General Meeting for 2005.
The shareholders approved the annual report, annual financial statements including profit and loss statement, and profit distribution as of FY2005, as below.

The Meeting approved the annual dividend as of 2005 at the below rates:
- RUR 0.02802 per one preferred share payable until August 21, 2006;
- RUR 0.01605 per one common share payable until December 15, 2006.
Overall, dividend pay-out will amount to RUR 737.9 mln, or 33.6% of net profit as of 2005, as compared to RUR 696.8 mln in 2004 (32.9%). The amount of dividend has thus increased by 5.9% versus 2004.
The AGM elected the Board of Directors consisting of 11 persons.

The AGM approved OOO ’Ernst & Young’ as the company auditor for 2006.
Other decisions included the approval of the amended Charter, and the re-editions of Regulations on the Board of Directors, Regulations on the Managing Board, Regulations on Audit Commission, an updated Holding Procedure of AGM. The AGM also validated the amount of remuneration paid to the Board of Directors.
Summing up the Meeting’s results, Anatoly Ufimkin, CEO said, ’In 2005 Uralsvyazinform passed a number of significant benchmarks. The revenue for the year has exceeded US$ 1.0 billion. The company has successfully completed the consolidation of mobile and Internet subsidiaries. We have introduced Utel, a single trademark for both mobile and new services. Our subscriber base in mobile services has outstripped that of fixed-line, reaching 3.7 million at the year-end compared to 3.6 million in the fixed telephony. Meanwhile. it is mobile services and data transmission that pushed the growth of the company last year, and our aim today is to extend this tendency over the next years.
